ValidBound Public Speaking Coaching Agreement
This Agreement is entered into by and between ValidBound LLC (“Company”) and the undersigned individual or entity (“Client”). Package tier, session count, fees, and start date are confirmed in the Client’s selected coaching offer or statement of work. SpeechGradebook product use remains subject to the separate SpeechGradebook Terms of Service and Privacy Policy.
1. Services and Scope
Company agrees to provide premium, research-informed Public Speaking Coaching services as detailed in the selected executive package tier. Sessions will focus on speech structure, advanced delivery techniques, and rubric-based professional assessment frameworks.
2. Complimentary Software Access
During the active term of this coaching engagement, Client will receive complimentary access to SpeechGradebook (speechgradebook.com), including the Practice web platform. This access is a non-transferable, revocable companion benefit (typically provisioned via time-limited Practice invite codes). Use of the software remains subject to the separate SpeechGradebook Terms of Service. Upon expiration or conclusion of this coaching engagement, Company will revoke companion Practice access (for example by expiring or disabling invite codes / account access associated with the engagement). Revocation is an operational step and may not be instantaneous.
3. Mutual Non-Disclosure and Confidentiality
3.1 Protected information
During the engagement, either party may disclose proprietary, financial, operational, or strategic presentation content (“Confidential Information”).
3.2 Obligation
Both parties agree to hold all Confidential Information in strict confidence and will not disclose it to any third party without express written consent. This includes the explicit details of Client’s unreleased corporate pitches or speech content.
4. Fees, Executive Scheduling, and Cancellation
4.1 Retention
Client agrees to pay all fees according to the selected package prior to the commencement of the first session.
4.2 Standard rescheduling
Client requests to reschedule a session should be submitted at least twenty-four (24) hours in advance whenever possible.
4.3 Executive emergency exemption
Client is granted one (1) “Emergency Reschedule” exemption per engagement cycle, allowing a session to be moved up to two (2) hours prior to the scheduled start time due to urgent, non-negotiable corporate disruptions, without forfeiting the fee. Subsequent late cancellations result in a deducted session unit.
5. Intellectual Property Rights
5.1 Client materials
Company claims zero ownership over the corporate ideas, data, slide designs, or industry text presented by the Client during sessions.
5.2 Company frameworks
All proprietary rubrics, structural handouts, framework documentation, and methodology provided by Company remain the exclusive intellectual property of ValidBound LLC and cannot be repackaged or distributed for internal corporate training.
6. No Guarantee of Specific Outcomes
Client acknowledges that public speaking mastery depends heavily on individual practice, real-time execution, and unpredictable market variables. Company provides elite instructional tools and evaluative feedback, but does not guarantee specific funding rounds, course grades, academic outcomes, employment hires, or competitive placements.
7. Governing Law
This Agreement is governed by the laws of the State of Tennessee, without regard to its conflict of law principles.
